The Marks and Spencer board was told more than a year and a half ago that non-executive chairman Luc Vandevelde’s £450,000 pay packet and outside concerns would cause problems.
Non-executive director Tony Ball, who was then also chief executive of British Sky Broadcasting, reportedly raised the issue with the board.
Ball resigned in September 2002 and his friends say it was partly to do with the fact that his voice was not heard on the issue.
The revelation comes just after Vandevelde resigned from his post because he felt he could not devote the attention that was required to the role.
