CVC plans to bring a new management team to revitalise the 670-strong loss-making El Arbol chain, which operates supermarkets and cash and carry formats.
Laurus said the deal involved debt restructuring and an injection of new capital into El Arbol.
Laurus will now focus on its struggling Dutch and Belgian businesses.

Danone dips
French food group Danone said sales for the first nine months of the year fell 4.9%, hit by unfavourable exchange rates and consolidation but "in line with internal objectives".
The maker of Evian and Volvic water and HP sauce posted a 7.8% rise in third quarter like-for-like sales and 5.3% over nine months. But turnover fell to E10.47bn from E11.01bn in 2001, due to a negative impact of 5.2% from exchange rates
The group confirmed its full-year targets with a rise in like-for-like sales growth of 5.2%.

US labelling
The US Department of Agriculture has begun a new programme to certify and plainly label organic products.
A green or black USDA organic' logo, will be put on products containing at least 95% organic ingredients, by weight. Products with 100% organic ingredients can be "prominently" labelled as such.

China stake
The world's largest brewer Anheuser-Busch has struck a deal to increase its stake in Chinese brewer Tsingtao to 27% from 4.5% over the next seven years.
Under the agreement Tsingtao, the largest brewer in China with a 12.8% share of the market, will issue convertible bonds to Anheuser-Busch in three instalments valued at about $182m.
The Chinese government will continue to be Tsingtao's biggest shareholder with a 31% stake.

Profits alert
Consumer products group Kimberly-Clark has warned that an increase in promotional spending in the disposable nappies market would dent its full-year profit.
The maker of Huggies nappies and Kleenex tissues said third quarter sales rose 3.3% to $3.49bn from $3.37bn, while volumes grew 5%.
